Matter is something which occupies space,Energy is something which do work.Matter can neither be created nor destroyed but can be changed from one form to other without loss or gain. Like mater energy also can neither be created nor destroyed but can be changed from one form to other without loss or gain.You can not make anything out of nothing and also you can not do anything to nothing!
Generally we say this only for Energy. May be because we see matter being changed to another form and we accept it is not destroyed. When it comes to energy, when things are burnt to ashes we feel it is destroyed when the flame subsides and the ash remains. We aren't able to see the conversion or the other form as it is in matter.
